CADnest Design LLC Client Portal Terms of Use

These Client Portal Terms of Use (“Terms”) govern your access to and use of the online client portal provided by CADnest Design LLC (“CADnest,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Portal, you acknowledge that you have read and agree to these Terms. If you do not agree to these Terms, you should not create or use a Portal account.
These Terms govern your use of the Portal only. They do not replace or modify the terms of any proposal, estimate, statement of work, Client Service Agreement, or other project-specific agreement between you and CADnest.
1. The Client Portal
The CADnest Client Portal is an online platform that may provide authorized clients with access to project-related information and services, including:
- Project information and status
- Drawings and project documents
- File uploads and downloads
- Project communications and messages
- Invoices and payment information
- Project milestones
- Agreements and related documents
- Appointment or scheduling information
- Notifications
- Other project-related features that CADnest may make available from time to time
Portal features may vary depending on the project and may be added, modified, suspended, or discontinued as necessary.
2. Eligibility and Authorized Access
The Portal is intended for clients and authorized representatives of CADnest clients.
By creating or using an account, you represent that:
- You are at least 18 years old;
- You have the legal capacity to agree to these Terms; and
- If you are acting on behalf of a company, property owner, or other entity, you have authority to do so.
You may access only the account and project information that CADnest has authorized you to access.
You may not use another person’s credentials or attempt to access another client’s account, project, files, or information.
3. Account Registration and Security
You are responsible for providing accurate information when creating your account and for keeping your account information reasonably current.
You are responsible for maintaining the confidentiality of your username, password, authentication information, and other account credentials.
You are responsible for activities conducted through your account unless the activity resulted from unauthorized access that you promptly reported to CADnest.
You agree to notify CADnest promptly if you:
- Suspect unauthorized access to your account;
- Lose control of your login credentials;
- Become aware of a security issue involving your account; or
- Believe that information in your account has been accessed or changed without authorization.
CADnest may require additional authentication or security measures from time to time.
4. Acceptable Use
You agree to use the Portal only for legitimate purposes related to your relationship and projects with CADnest.
You may not:
- Share your account credentials with unauthorized persons;
- Access or attempt to access another user’s account or information;
- Upload malware, malicious code, or other harmful material;
- Upload content that is unlawful or that infringes another person’s rights;
- Use the Portal to harass, threaten, defraud, or harm CADnest or another person;
- Attempt to interfere with the operation, security, or availability of the Portal;
- Attempt to bypass authentication or other security measures;
- Reverse engineer, decompile, or otherwise attempt to obtain the source code of the Portal;
- Use automated tools to scrape, copy, or systematically extract Portal data without written authorization; or
- Use the Portal for purposes unrelated to the services or project relationship for which access was provided.
5. Project Files and Information
The Portal may contain project-related drawings, plans, photographs, reports, specifications, correspondence, invoices, agreements, and other information.
Information available through the Portal may be subject to the terms of the applicable project agreement between CADnest and the Client.
The Portal is provided as a means of facilitating project communication and document exchange. The existence of a file or document in the Portal does not, by itself, modify the scope of services, create a professional certification, constitute governmental approval, or change the terms of an applicable project agreement.
Clients should review documents carefully and communicate any questions, corrections, or concerns to CADnest.
6. Ownership and Use of Materials
Documents, drawings, designs, photographs, reports, templates, and other materials accessible through the Portal may be owned by CADnest, the Client, consultants, contractors, third parties, or other rights holders, depending on the nature of the material and the applicable project agreement.
Your rights to use project-specific documents and deliverables are governed by the applicable proposal, estimate, Client Service Agreement, or other written project terms.
Nothing in these Portal Terms transfers ownership of intellectual property or project documents unless such transfer is expressly provided in a separate written agreement.
You may not reproduce, distribute, publish, sell, or provide project materials to unauthorized third parties except as permitted by the applicable project agreement or with appropriate authorization.
7. Client Communications
The Portal may allow you to communicate with CADnest through messages, comments, file submissions, notifications, and other electronic communications.
Project-related communications may be retained as part of CADnest’s business and project records.
CADnest may access and review Portal communications and files when reasonably necessary to:
- Provide requested services;
- Respond to client inquiries;
- Manage and document projects;
- Maintain and troubleshoot the Portal;
- Investigate security incidents or suspected misuse;
- Comply with legal obligations; or
- Protect CADnest’s rights, property, clients, or users.
CADnest does not represent that Portal communications are continuously monitored or that messages will always receive an immediate response.
For urgent matters, clients should use the contact method identified by CADnest for the applicable project rather than relying solely on Portal notifications.
8. Privacy
Information collected through the Portal is handled in accordance with the CADnest Design LLC Privacy Policy.
The Privacy Policy explains how CADnest collects, uses, stores, and protects personal information and project-related information.
By using the Portal, you acknowledge that information may be collected and processed as described in the Privacy Policy.
9. Payments
The Portal may provide access to invoices, payment information, payment links, or other payment-related functionality.
Payments remain subject to the applicable proposal, estimate, invoice, Client Service Agreement, or other project-specific terms.
Payment processing may be provided by third-party payment processors. CADnest may not receive or store complete payment-card information when payment is processed directly by a third-party provider.
Third-party payment services may have their own terms, conditions, and privacy policies.
Use of the Portal does not change the payment obligations established under the applicable project agreement.
10. Electronic Documents and Communications
Where supported by the Portal and applicable law, electronic communications, documents, acknowledgments, approvals, and signatures may be used to facilitate project administration.
Electronic acceptance through the Portal may constitute an electronic record of your acceptance when permitted by applicable law and the applicable agreement.
However, use of the Portal does not automatically replace a legally required signature, certification, professional approval, governmental submission, notarization, or other legally required procedure.
11. Portal Availability
CADnest makes reasonable efforts to maintain the availability and functionality of the Portal.
However, CADnest does not guarantee that the Portal will always be:
- Available;
- Uninterrupted;
- Error-free;
- Secure from every possible threat; or
- Compatible with every device, browser, network, or software environment.
The Portal may occasionally be unavailable because of maintenance, updates, technical problems, security measures, third-party service interruptions, or circumstances outside CADnest’s reasonable control.
12. Third-Party Services
The Portal may rely upon or integrate with third-party services, including services for:
- Hosting;
- Cloud storage;
- Authentication;
- Email and communications;
- Payment processing;
- Electronic signatures;
- Analytics;
- Security;
- File management; and
- Other technical functions.
Third-party services may have their own terms and privacy policies.
CADnest is not responsible for the independent operation, availability, content, security, or policies of third-party services, except to the extent required by applicable law.
13. Security
CADnest takes reasonable measures designed to protect the Portal and information maintained through it.
However, no online system or electronic transmission can be guaranteed to be completely secure.
You acknowledge that internet-based services involve inherent security risks and agree to use reasonable care when accessing and using your account.
You should not upload information to the Portal that is unrelated to your project or that you are not authorized to provide.
14. Suspension or Termination of Access
CADnest may suspend or restrict Portal access when reasonably necessary, including for:
- Security reasons;
- Suspected unauthorized access;
- Violation of these Terms;
- Maintenance or technical reasons;
- Protection of CADnest, its clients, or third parties;
- Completion or termination of a project; or
- Other legitimate business reasons.
Where reasonably practical, CADnest may provide notice before suspending access.
Suspension or termination of Portal access does not automatically terminate or modify any separate agreement between CADnest and the Client.
CADnest may retain project records and information after Portal access is terminated as permitted or required by applicable agreements, law, or legitimate business needs.
15. No Modification of Project Agreements
These Terms govern your use of the Portal and do not replace, modify, or supersede the terms of a project-specific proposal, estimate, statement of work, Client Service Agreement, or other written agreement unless expressly stated in that agreement.
If there is a conflict between these Terms and a project-specific agreement concerning the actual scope, fees, deliverables, or obligations of a project, the applicable project-specific agreement will control.
16. Disclaimer
The Portal is provided on an “as available” and “as is” basis to the extent permitted by applicable law.
CADnest does not warrant that information available through the Portal will always be complete, current, accurate, error-free, or continuously available.
Project information may change as a project progresses, and users should rely on the most current documents and communications identified by CADnest for their project.
Nothing in these Portal Terms constitutes a guarantee of project approval, permit approval, construction results, or any particular project outcome.
17. Limitation of Liability
To the maximum extent permitted by applicable law, CADnest Design LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising solely from your access to or use of the Portal, including damages resulting from temporary unavailability, technical interruptions, or third-party services.
This limitation does not apply to liability that cannot legally be excluded or limited under applicable law.
Any liability arising from CADnest’s actual project services is governed by the applicable project agreement and applicable law.
18. Changes to These Terms
CADnest may update these Terms from time to time to reflect changes to the Portal, our business practices, third-party services, or applicable requirements.
When material changes are made, we may provide notice through the Portal, email, or another reasonable method.
The updated Terms will include a revised effective date.
Where applicable, continued use of the Portal after the effective date of updated Terms constitutes acceptance of the revised Terms.
19. Governing Law
These Terms are governed by the laws of the State of California, except to the extent that applicable law requires otherwise.
Any dispute specifically concerning use of the Portal will be subject to the applicable jurisdiction and venue requirements under California law.
Nothing in these Terms prevents a party from exercising rights or remedies that cannot legally be waived.

These Terms govern your use of the Portal and do not replace any separate agreement governing the services provided by CADnest Design LLC.
